F. BOMA AYOMIDE ALABI OON, SAN

Managing Partner

Boma Alabi, OON, SAN is a Senior Partner of Primera Africa Legal (PAL). She leads PAL’s Corporate Governance and Compliance Practice.

In addition to being an experienced Arbitrator and accredited Civil and Commercial Mediator, Boma specializes in International Tax Law, Maritime Law, Mergers & Acquisitions and Capital Market Transactions. She has advised on some of Nigeria’s leading commercial deals in a number of sectors including real estate and infrastructure, manufacturing, banking, hospitality, telecommunications, maritime, energy, project funding and development.

She served as the President of the Commonwealth Lawyers Association 2011-2013, the first and only woman President in the over 50 year history of this association of lawyers from 54 countries, across 7 Continents. She was a Council Member of the Board of the Royal Commonwealth Society and also served as the Chairwoman of the Association of Women Solicitors of England and Wales between 2005/2006. She is a member of the Institute of Directors and the ICC.

She serves on the board of ALFA International, and as Chairman of the Board of Just Commerce Vehicles Ltd, in addition, Boma serves as an INED on a number of other Boards and on the advisory board of WISCAR, a not for profit structured mentoring organization.

KEY TRANSACTIONS

  • Team Lead – legal adviser to Centenary City Plc, a public infrastructure company with the mandate to build the Abuja Centenary City, the first of its kind smart city development project in West Africa, valued in excess of Fifty Billion United States Dollars ($50,000,000,000)
  • Team Lead – legal adviser to a leading Nigerian entity in a N3.8 Billion real estate development transaction including negotiation by the company with a Japanese construction company and the Africa Development Bank which provided the facility for the project.
  • Team Lead- legal advisers to a Nigerian infrastructure development company in its bid for the development and construction of an ultra-modern market in the north central region of Nigeria.
  • Lead Counsel – multi-jurisdiction hospitality project in Nigeria covering the initial negotiations between the owner, project developer and project financier including structuring, transaction documentation, regulatory compliance support and Nigerian law advice.
  • Team Lead- provided transaction support to one of the states in the southern part of Nigeria on the offer for subscription by the state government of N100 billion naira fixed rate bonds under a N250 billion debt issuance programme, including drafting the transaction legislations and revenue administration law.
  • Successfully brokered a consortium between a construction company and a real estate management company and is currently the lead counsel providing legal support for the construction of an ultra-high-end residential development designed and planned to be the world’s tallest sprayed concrete curved structure
